1. Definitions
In these terms and conditions, the following definitions apply:
- TechResolve: the service provider based in the Netherlands
- Client: any natural or legal person using the services
- Services: all IT, web development, marketing, and consultancy services provided by TechResolve
2. Applicability
These terms and conditions apply to all quotations, agreements, and services of TechResolve, unless otherwise agreed in writing.
3. Quotations and Agreements
- All quotations are non-binding and valid for 14 days
- An agreement is established after written confirmation or upon the start of the work
- TechResolve reserves the right to refuse assignments without providing a reason
4. Execution of Services
- TechResolve will perform the services to the best of its knowledge and ability
- The client must provide all necessary information in a timely manner
- Delays caused by missing information are the responsibility of the client
5. Payment
- Invoices must be paid within 14 days
- In case of late payment, statutory interest and collection costs may be charged
- TechResolve may suspend services in case of outstanding payments
6. Liability
- TechResolve is not liable for indirect damages, such as loss of profit or data
- Liability is limited to the amount of the agreement
- The client remains responsible for making backups
7. Intellectual Property
- All designs, code, and materials remain the property of TechResolve, unless agreed otherwise
- The client receives a right of use after full payment
- It is not permitted to copy or resell materials without permission
8. Maintenance and Support
- Maintenance and support are only included if agreed in writing
- Updates and changes may involve additional costs
9. Termination
- Both parties may terminate the agreement in writing
- Work already performed will be invoiced
- Early termination may result in additional costs
10. Force Majeure
TechResolve is not liable for delays or failures resulting from force majeure, such as system failures, internet issues, or external services.
11. Privacy
TechResolve processes personal data in accordance with the privacy policy published on the website.
12. Governing Law
All agreements are governed by Dutch law. Disputes will be submitted to the competent court in the Netherlands.
13. Changes
TechResolve reserves the right to modify these terms and conditions. The most recent version shall always apply.
